BY-LAWS

Bylaws Adopted for
Burnett County Resort and Campground Association
Siren WI 54872
June 5, 2006

Article I Name
Sec. 1 The name of this organization shall be Burnett County Resort and Campground Association.

Article II Objectives
Sec. 1 This association is a “Non-profit” organization.

Sec. 2 The objective of this association is the promotion of resort, motel, hotel, and campground businesses in Burnett County, Wisconsin.

Sec. 3 The objectives of this association shall be furthered whenever possible by the individual members or by the Association as a whole, or by petitions presented to the proper authorities.


Article III Membership
Sec. 1 Businesses eligible to be a member must meet all of the following conditions:
Operate a resort, hotel, motel, trailer park, campground or other business that rents housekeeping units, rooms, cabins, trailers, trailer sites, or tent sites;
The business is located completely or partially within Burnett County, Wisconsin or adjacent counties in Minnesota and Wisconsin; and
The business is properly licensed by the states of Wisconsin or Minnesota to provide lodging facilities as described above.

Sec. 1A There are two categories of membership: "Member in Good Standing," and "Provisional Member." Those who meet all the criteria established in Article III, Section 1, have applied to be a member, and have paid their dues in full by June 30th shall be a "Member in Good Standing." Those who meet all the criteria established in Article III, Section 1, have applied to be a member, but have not paid their dues in full by June 30th shall be a "Provisional Member.” Provisional membership will be changed to "Member in Good Standing" immediately upon receipt of full membership dues. Provisional membership will automatically be terminated after August 15th if payment of dues is not received. A business operator or owner that has had their Provisional Membership terminated may only reapply for membership when their application is accompanied by a full payment of membership dues.

Sec. 1B Members in Good Standing are allowed all privileges offered by the Association including representing themselves as a member of the Association, voting, holding of elected office, receiving news and information, advertising within Association produced publications and web sites, listing vacancies on Association web sites and calendars, and other privileges determined by the Board of Directors. Provisional Members will not be allowed to represent themselves as members of the Association, vote, hold any elected office, advertise within Association produced publications and web sites, list vacancies on Association web sites and calendars, or other privileges determined by the Board of Directors. The Board of Directors shall determine when to update membership lists to reflect the current membership; provisional members will not be listed as members. Provisional members will be allowed to receive news and information from the Association.

Sec. 1C To remain a “Member in Good Standing,” the member business must subscribe to the purpose, provisions, and overall best interest of the Association.

Sec. 2 Special cases not covered by this list will be disposed of by the Board of Directors at any meeting and decisions of same included in the minutes of that meeting.


Article IV Officers
Sec. 1 The Officers of this organization shall be: President, Clerk, and Four (4) Board of Directors. The Board of Directors shall consist of Five Current Members of the Association and shall include the President. The retiring President shall serve as a member of the Board until a new President is elected.

Sec. 2 The election of said officers shall be done at the Annual stated Meeting in April of each year.

Sec. 2a The elected officers of the Association shall serve for a period of 2 years and said terms shall rotate every other year to provide continuity to the executive branch.


Sec. 3 The position of Clerk shall be empowered to handle all secretarial and treasurer duties, including Public Relations and Information Dissemination.

Sec. 4 The Board of Directors shall be empowered to transact any or all business for the welfare and to the best interest of the Association and report thereon to the Members at any meeting or by written communication.

Sec. 5 Resignation may be accepted from any officer and a successor elected and installed at any general meeting at which the resignation is tendered.


Sec. 6 Should a vacancy occur in any office, the Board of Directors shall be privileged to appoint someone to fill the vacancy until the next General Meeting, at which time the Membership shall elect a successor.

Article V Committees
Sec. 1 The Board of Directors shall appoint committees whenever necessities arise.

Sec. 2 The Board of Directors shall appoint an audit committee when deemed necessary or at the change of the Clerk, to audit the books, vouchers and accounts of the association. Said committee is to meet one week prior to the date of the following meeting.


Article VI Meetings
Sec. 1 Regular meetings of the Association shall be held at a time and place determined by the Board of Directors and made known to the membership in a due and timely fashion.

Sec. 2 Special meetings may be called by the Board of Directors when warranted as such by the Board.


Article VII Quorum
Sec. 1 A minimum of three (3) members of the Board of Directors shall constitute a quorum.

Article VIII Dues and Assessments
Sec. 1 Annual dues for members shall be determined by the Board of Directors and approved by the membership. Members in arrears may be reinstated upon payment of dues and special assessments. Special assessments may be levied by a majority vote of those present at any meeting.

Article IX Commissions
Sec. 1 Commissions set by the membership shall be paid on all business placed through the Association or the Information Bureau. Commissions must be paid within (10) days after termination of the guest's stay. Failure to comply with the above stipulations and conditions regarding commissions will revoke all membership benefits from the Association and Information Bureau.

Article X Fiscal year
Sec. 1 The fiscal year of business of this Association shall be May 1st to April 30th.

Article XI Communications
Sec. 1 A copy of the audit, if taken, and a copy of these Bylaws, as amended and adopted to the end of each succeeding fiscal year, shall be made available to members no less than (7) days prior to the Annual Spring Meeting.

Sec. 2 Notice of any General Meeting shall be mailed, either electronically or by postal services, to all members prior to such a meeting.

Article XII Voting
Sec. 1 Members shall only be entitled to one vote.

Sec.2 The “secret ballot” shall be exercised on any issues necessitating same, after formal motion and majority open vote call for such.

Article XIII Order of Business
Sec. 1 The order of business of the meetings of this Association shall be: roll call, reading of the minutes, receipt of communications, bills, etc., reports of officers, reports of committees, applications for membership, unfinished business, new business, announcements, adjournment and program. This order of business may be suspended or changed at any meeting by a majority vote.

Article XIV Parliamentary Authority
Sec. 1 Robert's rules of order shall be the Associations final authority on all questions of procedure and parliamentary law not covered by the Constitution and Bylaws.

Article XV Amendment of Bylaws
Sec. 1 These Bylaws may be amended by a two-thirds majority vote of the Board members present at any meeting or any special meeting called for that purpose; a quorum being present.

Article XVI Advertising within Association Produced Publications
Sec. 1 The Association may produce publications to promote the Association and its goals. These publications may include guides, maps, and other information produced in printed format or published on the Internet. The production of these publications will be overseen by the Board of Directors or individuals it may appoint.

Sec. 2 Businesses operating in and near Burnett County may purchase advertising within Association publications. The Board of Directors will determine the appropriate fee to charge these sponsors.

Sec. 3 Businesses that would be considered eligible for Association membership (see Article III) may only advertise within Association publications if they are a Member in Good Standing. A business that operates 2 different types of operations may not advertise its non-lodging operations in Association publications unless this business is a Member in Good Standing. For example, if Happy Campgrounds includes a store known as Happy Groceries, then Happy Groceries may only advertise in Association publications if Happy Campgrounds is a Member in Good Standing.

Sec. 4 The Board of Directors or individuals appointed by the Board of Directors will retain the right to refuse to sell advertising to any business. Reasons for refusing to sell advertising include: (1) poor credit history, (2) history of illegal activities, (3) operations that are detrimental to the goals of the Association, (4) advertising design that is distasteful or detrimental to the goals of the Association, or (5) other reasons as determined by the Board of Directors or its appointed individuals.
